1. Who these terms are for
These terms govern the website subscription plans offered on fanorta.com by ChefSphere OÜ ("Fanorta", "we").
The plans are for businesses, self-employed people and other organisations acting in the course of their trade or profession (entrepreneurs under § 14 BGB). They are not available to consumers. In Stripe Checkout you confirm that you order as a business and not as a consumer.
Your own general terms do not become part of the contract, even if we do not expressly object to them.
The contract is concluded when you complete payment in Stripe Checkout. We confirm it by email.
2. The plans and what is included
You choose one of these plans:
- Starter, €69 per month: a one-page website, 1 small change per month.
- Business, €129 per month: up to 8 pages, 3 small changes per month.
- Shop, from €249 per month: an online shop with up to 100 products, 2 hours of shop work per month.
3. What every plan includes
Every plan includes design and build of the website, hosting, domain and SSL certificate, backups, security updates and the monthly allowance of small changes or shop hours. The exact features of each plan are listed on the pricing page at the time of ordering.
A small change is an update to existing content: texts, images, prices, opening hours or similar, without new pages or new functions. Unused changes do not carry over to the next month. Larger changes, new pages and new functions are quoted separately.
The Shop plan includes 2 hours of work on the shop per month (4 hours in November and December): small changes or one improvement, agreed together each month. Unused hours do not carry over. If the shop is down or the checkout is broken, we start on the same business day; a fixed repair time cannot be guaranteed. Work beyond the hours, new integrations or apps, product photos, texts for more than ten products, advertising and shops with more than 100 products are quoted separately.
For a website you bought outright, the Care plan (€49 per month) covers hosting, updates, backups and small changes. The rules below on payment, cancellation and liability apply to it too; the rights to that site are already yours, so the rule on the transfer of rights does not apply.
4. Prices and payment
The setup fee is €0. Prices are per month and exclude VAT.
VAT: customers in Estonia pay Estonian VAT. Business customers in other EU countries with a valid VAT ID are invoiced without VAT under the reverse-charge rule. Customers outside the EU (for example in the UK) are invoiced without Estonian VAT. Without a valid VAT ID we may have to charge VAT. Our VAT number is EE102980989. The applicable VAT, if any, is shown in Stripe Checkout and on the invoice.
You pay monthly in advance by the payment methods offered in Stripe Checkout. The first payment is due when you order; later payments are charged automatically on the same day of each month. Invoices are sent by email.
If a payment fails, Stripe retries it. If it still fails after a reminder, we may take the website offline until the open amount is paid. Reasonable reminder and collection costs may be charged to you.
We may change prices for future billing periods. You will be told by email at least one full billing period in advance. If you do not accept the change, you can cancel with effect from the date the new price applies, even within the minimum term.
5. Minimum term and cancellation
The minimum term is 6 months, starting with the first payment. After that, the subscription continues monthly and you can cancel at any time to the end of the current billing month.
You cancel in the Stripe customer portal (link in the footer) or by email. No reason is needed.
If you cancel during the minimum term, the subscription ends at the end of the minimum term, and the remaining monthly payments stay due. The money-back guarantee below is the only exception.
When the subscription ends, the website goes offline at the end of the paid period, unless the rights to it have already passed to you (see the rights section below). Your domain, your texts and your images stay yours, and we hand them over on request.
6. Money-back guarantee
If you do not like the first design, tell us by email within 14 days after we send it to you. We refund the first payment in full and the contract ends. You may then not use the design or any part of it.
The guarantee applies once per client and to the first payment only.
7. Delivery and your part
After your order we hold a short kickoff call and tell you which content we need: logo, photos, texts, opening hours, contact details and your legal information. Once your content is complete, the website usually goes live within about 2 weeks. You see a first design before launch.
If content arrives late or changes substantially, the launch date moves accordingly. Billing starts with the first payment, not with the launch.
8. Domain and rights to the website
The domain is registered in your name from the start, or transferred to you. It always belongs to you.
After 24 months of continuous subscription, we hand over the code and content of the site and grant you a perpetual, transferable right to use, host and change the website as you like. Reusable components and tools that we also use for other clients are covered by this right on a non-exclusive basis. Until then, we keep all rights to the design and code, and you have a non-exclusive right to use the website for your business for as long as the subscription runs.
The content you provide (texts, images, logo) stays yours at all times. Third-party components such as shop platforms, themes, plugins and fonts remain subject to their own licences.
We only name you as a reference or show your website in our portfolio with your agreement.
9. What is not included
The following is not part of any plan. We quote it separately on request:
- Writing texts, taking photos or producing videos beyond what the plan includes
- Translations beyond the language(s) included in the plan
- Paid themes, plugins, apps, stock photos or fonts
- Advertising budgets (Google Ads, social media ads)
- Third-party fees: shop platform plans, payment-provider fees, premium domains, external services and APIs
- Legal review of your texts, imprint, privacy policy or terms
10. Your obligations
- You hold the rights to all content you give us (texts, images, logos, videos) and you are responsible for it.
- You are responsible for the legal texts on your website (imprint, privacy policy, shop terms). We prepare templates, but you check and confirm them, with a lawyer if needed.
- You give feedback and approvals within a reasonable time.
- You use the website lawfully and keep your contact and billing details up to date.
11. Availability and maintenance
We host the website, keep the SSL certificate current, make backups and install security updates. We make reasonable efforts to keep the website available around the clock, but we cannot guarantee uninterrupted availability.
Short maintenance windows and outages caused by third parties (network and data-centre providers, shop platforms, payment providers, domain registries) or by force majeure are not a breach of contract. We announce planned maintenance where possible and fix faults as quickly as we reasonably can.
12. Liability
We are liable without limit for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and for guarantees we have expressly given.
For slight negligence we are liable only for breach of essential contractual duties (duties whose fulfilment makes the proper performance of the contract possible in the first place and on which you may rely), and then only for the foreseeable damage typical of this kind of contract.
Any further liability is excluded. This also applies to our employees and contractors. You keep your own copies of the content you give us.
13. Termination for cause
Either party may terminate the contract for cause without notice (§ 314 BGB). For us, cause includes in particular: you are more than one billing period behind with payment despite a reminder, you publish unlawful content, or you seriously breach these terms and do not stop after a warning.
Termination for cause must be in text form (email is enough).
14. Data protection
We process personal data as described in the privacy policy.
Because we host your website, we process personal data of your visitors on your behalf, for example server logs and form entries. We conclude a data processing agreement under Art. 28 GDPR with you before your website goes live.
15. Governing law and jurisdiction
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
The courts of Hamburg, Germany, have exclusive jurisdiction for all disputes arising from or in connection with this contract.
16. Changes to these terms
We may change these terms for future billing periods, for example when the law, the plans or the technology change. This does not cover the scope of your plan, the price or the term. We will send you the new version by email at least one full billing period before it takes effect. If you do not agree, you can cancel with effect from the date the change takes effect, even within the minimum term. Otherwise the new terms apply from the date stated.
17. Transfer of the contract
We may transfer this contract to a successor company that takes over the Fanorta business. We will tell you at least one month in advance. If you do not agree, you can cancel with effect from the date of the transfer.
18. Final provisions
If a provision of these terms is invalid, the rest remains in force. Changes and additions to the contract need text form (email is enough).
These terms exist in English, German and French. If the versions differ, the English version prevails.
